These Terms & Conditions (“Terms”) govern your access to the Familing application, familing.traintheory.com, and related features and services (the “Services”), provided by Traintheory Inc. (“Traintheory,” “we,” “us,” or “our”).

1. About these Terms

These Terms apply when presented and accepted through the Services. If you do not agree to these Terms when presented, do not create an account or continue using features that require acceptance; contact us about existing information or account closure. Merely viewing this page does not authorize new data processing.

Our Privacy Policy explains how we handle personal information. Accepting these Terms does not replace any separate consent required for connected accounts, AI processing, marketing, or other optional features. If a specific feature requires additional terms, we will identify them before you choose it. Mandatory consumer and privacy rights remain unaffected.

2. Accounts, age, and family membership

A primary account holder must be at least 18 and legally able to enter into this agreement and administer the household under applicable law. A higher local requirement still applies. Use accurate information, protect access to your account and devices, and notify us promptly if you suspect unauthorized access. Do not share sign-in credentials or access another person’s private account without permission.

The current service supports adults managing family information. The intended model for future teen access is invitation-only membership from ages 13–17, with appropriate parent or guardian authorization and an age-appropriate explanation and agreement. These Terms do not make teen login available before the necessary roles and safeguards are implemented. A teen cannot independently create a household, purchase a plan, or authorize adult-only integrations on behalf of a family.

An authorized adult may create a managed profile for a child under 13. Such a profile does not grant the child a login, connected mailbox, or direct AI access. A child’s email is not required merely to create a profile. Household membership is not, by itself, proof that a person is a parent or legal guardian. Provide information about children and other people only where you have the necessary authority and permissions.

Each member remains responsible for their own conduct. The primary account holder manages household invitations and appropriate permissions, but is not automatically entitled to access another member’s private content. Family access must not be used for coercive monitoring, harassment, or bypassing another person’s privacy choices.

3. Permission to use Familing

Subject to these Terms, we give you a limited, non-exclusive, non-transferable permission to use the Services for lawful personal and household purposes. This permission ends when your access lawfully ends. You may use features only within the access rights, supported settings, and limits made available to your account.

Do not copy, sell, rent, sublicense, or commercially redistribute the Services or our artwork and branding without permission, except where applicable law expressly permits it. Restrictions in these Terms do not override statutory rights or applicable open-source licences. Third-party components remain subject to their own applicable licences.

4. Your information and shared family content

You retain rights you already hold in information you provide. To operate the features you choose, you authorize us and our service providers to host, process, transmit, display, synchronize, and, where necessary, transform that information—for example, to summarize a message or prepare a task. This permission is limited to providing the Services, permitted support and security activities, and the uses described in the Privacy Policy. It is not permission to sell content, use it for advertising, or train generalized AI models.

This permission continues only as necessary for those purposes, including limited retention and backup handling described in the Privacy Policy and any applicable legal obligations. Removing a connection does not automatically retract content already saved or shared. We do not claim ownership of your emails, calendar entries, family records, or assistant messages.

Shared events, tasks, lists, and profile details can be visible to other authorized household members according to the feature. Before saving or approving an item, consider whether it includes information that should remain private. Others may copy or retain material they were entitled to see. We cannot promise to retrieve copies already exported or independently retained by another person.

We do not guarantee that AI-generated material is original, exclusive, or eligible for intellectual property protection. To the extent we hold rights in output generated specifically for you, we permit you to use that output for your lawful purposes, subject to others’ rights and applicable provider restrictions.

5. Connected accounts and external services

You decide whether to connect supported email, calendar, or other accounts. Connect only accounts you are entitled to use and grant permissions only after reviewing the explanation. Connected providers have their own terms, privacy practices, permission scopes, and availability; their applicable terms continue to govern your relationship with them. Your provider password is not shared with Familing through the supported authorization process.

You authorize us to access and process the information necessary for enabled features within the permissions you grant. A separate action or setting governs write-capable or automated features. A provider’s permission scope may be broader than the particular operation Familing performs; we explain relevant access in the app and Privacy Policy.

You can disconnect or revoke access through the available app or provider controls. Doing so can disable the related feature and stop new access, but does not automatically delete imported information, pending outputs, or events already created elsewhere. A request already transmitted to a provider may complete. Our Privacy Policy explains the distinction between disconnecting and deletion.

External data, such as weather forecasts and alerts, can be delayed, incomplete, inaccurate, or unavailable. Do not rely exclusively on Familing for emergencies, severe-weather warnings, medical decisions, or other safety-critical needs. Check the authoritative source when accuracy or timing matters.

6. AI features and automation

Familing uses generative AI, currently through OpenAI’s API, to interpret supported information, respond to planning requests, and prepare events, tasks, lists, and related suggestions. As explained in the Privacy Policy and in-app notices, enabled features can send personal information and relevant family context to the AI provider. Inputs are not necessarily anonymized. Private content is not authorized for model training or fine-tuning; provider operational retention is a separate matter described in the Privacy Policy.

Review important results. AI can misunderstand a message, invent or miss a detail, assign the wrong person, or produce an incorrect date, time, location, or recommendation. Confirm important information against the original source. AI output is organizational assistance, not professional advice, and does not establish eligibility, enrollment, attendance, consent, or a booking.

Assistant plans require confirmation before supported actions are applied. If an adult separately enables automatic email processing, supported clear actions may be created without reviewing every item; uncertain or conditional items remain subject to review. Disabling automation stops new processing according to the feature’s controls, but does not undo previously completed actions.

Your confirmation or enabled automation authorizes the supported action and destination shown or selected—not unrestricted access to other accounts or actions. Creating a calendar event may place relevant content into a provider calendar and make it visible according to that calendar’s sharing rules. The current email feature does not send email, delete mail, or send calendar guest invitations. A future feature that sends invitations must disclose recipients and obtain the necessary authorization before sending them.

If you supply an AI API key, you must be authorized to use that provider account, keep it secure, and avoid provider data-sharing settings that conflict with Familing’s privacy commitments. Charges billed directly by that provider are separate from any Familing subscription and depend on your provider agreement. Disabling Familing does not automatically cancel a third-party account or billing arrangement.

7. Acceptable use

You must not:

Good-faith security research and activity protected by law are not prohibited merely because they identify a defect. Avoid accessing others’ information or disrupting service, and report suspected vulnerabilities privately to support@traintheory.com.

8. Fees, subscriptions, and cancellation

These Terms do not create a paid plan, start a trial, or authorize a charge. If we offer paid features, the purchase flow will disclose the price, currency, taxes, billing frequency, included features, trial conditions, renewal terms, and how to cancel before you agree. A trial will not convert into a paid plan without the required disclosure and authorization.

A subscription renews only where the agreed purchase terms provide for renewal and applicable requirements are met. We will provide required notice of price or material subscription changes and obtain consent where required. Cancellation ends future renewal according to the disclosed purchase terms; uninstalling the app, disconnecting Google, or requesting data deletion may not cancel a store-managed subscription. We will clearly explain any separate cancellation step.

Purchases through an app store may require you to manage billing, cancellation, or refund requests through that store. Any stated refund policy is subject to mandatory statutory rights. We will not describe a charge as universally non-refundable or withhold a refund required by law. Third-party costs, including an independently supplied AI account, are not bundled unless expressly stated.

9. Product updates and marketing

We may send essential account, support, security, and service communications. Optional product news and promotions require the applicable separate marketing choice. The planned onboarding choice will be off by default, skippable, and intended for adults. Account creation, a child’s household membership, Google consent, or acceptance of these Terms does not itself subscribe anyone to marketing.

You can unsubscribe from marketing using the provided link or by contacting hello@traintheory.com. This does not prevent necessary non-marketing service messages. See the Privacy Policy for subscriber information and consent handling.

10. Changes, previews, and availability

We may improve or modify the Services, set reasonable usage limits, or discontinue features. We will give reasonable advance notice of material reductions or discontinuation where practicable and required, and honor applicable rights concerning paid features. Urgent security, legal, or provider changes may require faster action. We do not promise uninterrupted service, a particular response time, or indefinite support for every integration, device, or preview feature.

Screenshots, beta features, and development previews may differ from the released app. Early-access features can have defects and may change or be withdrawn. A preview label does not remove applicable consumer rights or our privacy obligations. We recommend retaining original source records outside Familing for important plans.

11. Suspension and ending access

We may restrict or suspend access where reasonably necessary to address a material breach, security risk, abuse, legal requirement, or provider restriction. We will act proportionately and provide notice and an opportunity to resolve the issue where appropriate, unless doing so would be unlawful, unsafe, or undermine a necessary investigation. Contact support if you believe a restriction is mistaken.

You may stop using the Services and request account deletion. Where available, use the in-app deletion option; otherwise contact support@traintheory.com. Account closure, household closure, data deletion, and subscription cancellation are related but distinct. We will explain applicable steps and shared-household consequences. Deleting one member must not improperly erase another person’s private records or an active household’s information.

Retention, backup expiry, and deletion exceptions are described in the Privacy Policy. Suspension does not authorize us to retain content indefinitely or use it for unrelated purposes. When access ends, provisions that necessarily continue—such as accrued payment obligations, intellectual property rights, applicable liability limits, and dispute handling—continue only to the extent appropriate and lawful.

12. Service warranties and limitations

We aim to provide a useful and dependable service. To the extent permitted by law, the Services and AI output are provided on an “as available” basis without additional promises of uninterrupted operation, error-free output, or suitability for every purpose. We cannot guarantee that third-party sources or AI results are accurate or available at all times.

Nothing in these Terms excludes or limits a statutory warranty, remedy, or other right that cannot lawfully be excluded or limited. A disclaimer does not excuse failure to meet a mandatory legal obligation. You are responsible for reasonable checks of important plans, but this does not transfer all responsibility for our own conduct to you.

13. Liability

To the extent permitted by applicable law, neither party is liable to the other for indirect or consequential loss that was not reasonably foreseeable when the agreement was made. For other claims arising from the Services, our aggregate liability limit is the greater of CAD $100 and the amount you paid Traintheory for Familing during the 12 months immediately preceding the event giving rise to the claim.

These exclusions and the monetary cap do not apply where prohibited by law, or to fraud, deliberate misconduct, gross negligence, death or personal injury caused by negligence, or liability for breach of privacy or confidentiality obligations. They do not limit any non-waivable consumer rights or remedies.

14. Disputes and applicable law

Please first contact support@traintheory.com so we can try to resolve a concern. Informal resolution is encouraged, not a condition that prevents you from exercising a legal right, filing a timely claim, or contacting a regulator.

Subject to mandatory laws that apply where you live, these Terms are governed by the laws of Ontario and the federal laws of Canada applicable there. This choice does not deprive you of protections or remedies available under mandatory consumer or privacy law, or require proceedings in a location where such a requirement is unlawful. These Terms do not impose mandatory private arbitration or waive class-action rights. A governing-law provision identifies the legal framework; it does not determine which mandatory laws apply to every user.

15. Changes to these Terms

We will identify the effective date and provide appropriate notice of material changes. Where consent or acceptance is required, we will obtain it before applying the change. We will not rely solely on a silently edited webpage to impose a new paid obligation or a material new use of personal information. Changes apply prospectively except where law requires otherwise.

If you disagree with a change, you may stop using the affected service and close your account, subject to any applicable refund or cancellation rights. If a provision is unenforceable, the remaining Terms continue only so far as lawful and consistent with their purpose. A failure to enforce a provision on one occasion does not waive future enforcement. You may not transfer your account to bypass household or eligibility controls. Any transfer of our agreement in a business transaction remains subject to your rights and the Privacy Policy.

16. App distribution and contact

If you obtain Familing through Apple’s App Store or TestFlight, the applicable Apple distribution and licence terms also apply. These Terms govern the Familing service and are not intended to replace a platform’s applicable app licence or expand Apple’s obligations. Traintheory, rather than Apple, provides Familing service support. Any custom app licence will be reviewed against the platform’s requirements before use.
